Terms of Service

1. Acceptance of Terms

By accessing or using the EDified Strategies platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the terms and conditions outlined herein, please do not use the Service.

EDified Strategies ("we," "us," "our," or "Company") operates this platform for educational administrators, teachers, and board members at Christian schools in the United States. The Service is provided by EDified Strategies LLC, operated by Sean Riley.

These Terms constitute the entire agreement between you and EDified Strategies regarding the use of the Service and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral, written, or electronic.

2. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old, you have the authority to enter into this agreement on behalf of your school, district, or organization (if applicable), you are not located in a jurisdiction where the Service is prohibited, and you will comply with all applicable laws and regulations in your jurisdiction.

This Service is designed for educators, administrators, and board members. It is NOT designed for children and does not knowingly collect data from individuals under 13 years of age.

3. Account Creation and Responsibility

To use the Service, you must create an account by providing your full name, email address, school name and affiliation, your role, and school context information relevant to your use of the platform.

You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account, whether authorized or not. You agree to immediately notify us of any unauthorized use of your account.

You agree to provide accurate, current, and complete information during registration and to maintain and update this information as necessary. EDified Strategies reserves the right to suspend or terminate accounts that contain false, inaccurate, or misleading information.

4. Subscription Terms and Billing

Individual Teacher Subscription: $4.99 per month (monthly plan) or $49 per year (annual plan). School-Level Plans are available upon request for institutional subscriptions.

Unless you select a one-time purchase option, your subscription will automatically renew at the end of each billing period. By providing your payment information, you authorize EDified Strategies to charge your account for recurring subscription fees.

Payment processing is handled by Stripe, a third-party payment processor. By submitting payment information, you agree to Stripe's Terms of Service and Privacy Policy. EDified Strategies does not store your full payment card information; this is handled securely by Stripe.

EDified Strategies reserves the right to change subscription pricing with at least 30 days' notice. Price changes will not apply to active subscriptions until the next renewal date. Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will retain access through the end of your current billing period.

5. AI-Generated Content Disclaimer and Limitations

The EDified Strategies platform uses artificial intelligence (AI) powered by Gloo AI Studio to generate content including policy recommendations, lesson plan reviews, educational assessments, and other advisory materials (collectively, "AI-Generated Content").

CRITICAL DISCLAIMER: AI-Generated Content is provided "as-is" for informational and educational purposes only. AI-Generated Content is NOT a substitute for professional legal advice, professional educational guidance, certified professional advice of any kind, or a guarantee of accuracy or completeness.

You acknowledge and agree that you are solely responsible for reviewing, verifying, and adapting all AI-Generated Content before use in your school or classroom; you must exercise independent professional judgment before implementing any AI-Generated Content; AI may produce inaccurate, incomplete, biased, or contextually inappropriate information; and decisions made based on AI-Generated Content are your sole responsibility.

We operate according to the principle that "using AI wisely means exercising human judgment." No AI system should replace qualified professional judgment. Use of the Service does not create any attorney-client relationship, educational consultation relationship, or other professional relationship between you and EDified Strategies.

6. Intellectual Property Rights

All content, features, functionality, materials, and technology incorporated into the Service are the exclusive property of EDified Strategies or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal, non-commercial educational purposes.

You retain all rights to content you create and input into the Service ("User Content"). By submitting User Content to the Service, you grant EDified Strategies a non-exclusive, royalty-free, worldwide license to use, copy, modify, and display your User Content solely for the purpose of providing the Service. You acknowledge that User Content submitted to AI tools is transmitted to third-party AI providers (currently Gloo AI Studio) for processing, and may be retained by those providers subject to their own terms and privacy policies.

AI-Generated Content produced by the Service is derived from your inputs and our AI system. You may use AI-Generated Content for your school or educational purposes, but the underlying AI technology and algorithms are EDified Strategies property. Any feedback, suggestions, or ideas you provide regarding the Service become the property of EDified Strategies.

7. Acceptable Use Policy

You agree not to violate any applicable laws, use the Service to generate content intended to defame, harass, or abuse others, attempt to gain unauthorized access to the Service, introduce viruses or harmful code, reverse-engineer or decompile the Service, scrape or automatically extract data without authorization, use the Service for any illegal purpose, or resell or redistribute access to the Service.

8. Limitation of Liability

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EDIFIED STRATEGIES DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

IN NO EVENT SHALL EDIFIED STRATEGIES, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, OR ANY DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR AI-GENERATED CONTENT.

THE TOTAL LIABILITY OF EDIFIED STRATEGIES FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO EDIFIED STRATEGIES IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the limitation or exclusion of certain damages. If such limitations do not apply to you under local law, the damages you can recover may be greater than stated above.

9. FERPA and Student Data Considerations

The Family Educational Rights and Privacy Act (FERPA) protects the privacy of student education records. While EDified Strategies does not directly collect or maintain student education records, users may input materials that contain references to individual students or student performance information.

You are responsible for not submitting information that constitutes protected student education records under FERPA without appropriate de-identification, complying with your school's FERPA obligations, removing personally identifiable student information before submitting content to AI tools, and understanding that content you submit is processed by Gloo AI Studio and may be retained for service improvement.

EDified Strategies does not serve as a school official under FERPA and does not maintain student education records.

10. COPPA and Children's Privacy

EDified Strategies is designed for educators and administrators aged 18 and above and does not knowingly collect personal information from children under 13. If we become aware that we have collected information from a child under 13 in violation of COPPA, we will delete such information immediately.

11. Third-Party Services

The Service integrates with third-party services including Supabase (authentication and database), Stripe (payment processing), Vercel (hosting), Gloo AI Studio (AI processing), and Google OAuth (account authentication). EDified Strategies is not responsible for the availability, accuracy, or content of third-party services, or for issues arising from third-party service outages or failures.

12. Data Processing and AI Transparency

Content you submit to the Service is transmitted to Gloo AI Studio's servers for processing and AI generation. This means your content leaves EDified Strategies' systems, third parties access and process your content, your content may be retained by Gloo for service improvement, and you are responsible for ensuring you have authority to share all submitted content.

EDified Strategies maintains appropriate data processing agreements with Gloo AI Studio and other service providers addressing data security, limitation of use, data deletion rights, and compliance with applicable regulations. 13. Termination and Cancellation

You may cancel your subscription at any time through your account settings. Your subscription will be cancelled at the end of your current billing period and you will retain access until that date.

EDified Strategies reserves the right to immediately terminate your account if you violate any provision of these Terms, provide false information, use the account for illegal purposes, or if payment processing fails and cannot be remedied.

Upon termination, your right to access the Service ceases immediately. Your account data may be deleted after 30 days. The following provisions survive termination: Limitation of Liability, Indemnification, Intellectual Property Rights, and any other provisions intended to survive termination.

14. Indemnification

You agree to indemnify, defend, and hold harmless EDified Strategies, its owners, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, your violation of any applicable law, your User Content, any claim that your User Content infringes on third-party intellectual property rights, or any claim arising from your reliance on AI-Generated Content.

15. Modifications

EDified Strategies reserves the right to modify, suspend, or discontinue the Service at any time. We may update these Terms at any time by posting revised Terms with an updated date. For material changes, we will provide at least 30 days' notice via email or prominent notice on our website.

16. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree that any legal proceeding arising from these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in New York State, and you consent to the jurisdiction and venue of such courts.

18. Dispute Resolution

Before initiating formal legal proceedings, you and EDified Strategies agree to attempt to resolve any dispute through informal negotiation or mediation. You and EDified Strategies agree that any proceeding shall be conducted on an individual basis and not as a class action, class arbitration, or representative action. You waive any right to participate in a class action or class arbitration against EDified Strategies.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and EDified Strategies regarding the Service.
